Company Overview

FAN Communications operates A8.net, a Japanese performance-marketing network connecting roughly 3,000 advertisers with about 3.6 million registered media accounts. Advertisers pay when users buy, register or complete another specified action; the company also owns influencer, creator and digital-marketing services. It had 356 employees and ¥7.1 billion of 2025 revenue, but virtually all profit came from A8.net and related CPA services. At ¥376 on September 18, 2026, value depends mainly on whether A8.net can stabilize after AI-driven search disruption and whether the newer businesses stop consuming its profits; the current price appears to require substantial recovery rather than merely survival. How the Company Makes Money

A8.net collects fees from advertisers after a measurable customer action, pays an agreed reward to the media partner that generated it, and retains the spread and service fees. Advertisers choose this format because payment is tied to results rather than impressions. FANCOMI’s tracking, payment administration, fraud control and broad media inventory reduce the cost of running thousands of individual relationships. Its defensibility comes from liquidity on both sides of the network and accumulated operating data, not proprietary technology that a well-funded rival could not reproduce.

Profit concentration is more extreme than revenue mix suggests. In 2025, CPA Solutions produced ¥5.66 billion of revenue and ¥3.80 billion of segment profit. Strategic Businesses produced ¥1.44 billion of revenue but lost ¥619 million. A further approximately ¥1.22 billion of corporate and unallocated costs reduced consolidated operating profit to ¥1.97 billion. In the first half of 2026, CPA still earned ¥1.61 billion, but Strategic Businesses lost ¥473 million and central costs consumed about ¥652 million, leaving only ¥489 million of consolidated operating profit. Thus almost half of 2025 core profit, and 70% in the latest half-year, was absorbed outside the core operation. ([files.microcms-assets.io](https://files.microcms-assets.io/assets/d45caef7ee5f48168c423fe98204dea1/4d99fbc7970543f29c66ddfc5edf0efe/2025Q4_pdf.pdf))

The core platform is capital-light: 2025 depreciation was ¥129 million against ¥162 million of capital expenditure. Growth capital is instead spent through salaries, advertising, product development and acquisitions, so much of it immediately reduces reported profit. This distinction matters because Strategic Business revenue grew 45% in the first half of 2026 without creating positive earnings. Meanwhile, 2025 registered media accounts rose 2.7%, but active advertiser IDs fell 12.8% to 3,084. More registrations do not strengthen the network if fewer advertisers and publishers generate transactions.

Why the Stock Fell

The shares declined from ¥452 on March 25, 2026 to ¥376 on September 18, a verified fall of about 17%. The August 10 results explain part, but not all, of that decline: the stock fell only 2.2% on the release day. The business had already been weakening before management formally acknowledged the extent of the problem. ([irbank.net](https://irbank.net/2461/chart?utm_source=openai))

On August 10, management cut its 2026 operating-profit forecast from ¥2.18 billion to ¥1.20 billion and net-income guidance from ¥1.43 billion to ¥687 million, reductions of 45% and 52%. It also withdrew the 2027 targets of ¥3.0 billion operating profit and at least 10% ROE. First-half revenue fell only 5.8%, but operating profit fell 54% because CPA revenue declined, strategic-business losses increased, and advertising and internal AI/DX spending rose. CPA first-half sales fell 17% and segment profit fell 20%. ([files.microcms-assets.io](https://files.microcms-assets.io/assets/d45caef7ee5f48168c423fe98204dea1/82c643a60c3942379f7a8fbc69d13708/2026%E5%B9%B412%E6%9C%88%E6%9C%9F%E7%AC%AC2%E5%9B%9B%E5%8D%8A%E6%9C%9F%E6%B1%BA%E7%AE%97%E8%AA%AC%E6%98%8E%E8%B3%87%E6%96%99.pdf))

The company now describes lower search traffic and gross margin as a structural change rather than a temporary advertising cycle. Search-driven publishers are receiving fewer visits as AI answers questions without sending users to their sites, while several large advertisers have also reduced budgets. August data offered no core reversal: CPA revenue was down 16% year on year and transaction value was down 12%, although 49% Strategic Business growth left total revenue almost flat. The reported selloff therefore reflects both lower near-term earnings and doubt that the old profit level remains normal. What the Market Is Assuming

At ¥376, the supplied market capitalization is ¥24.93 billion. Against 2025 owner earnings of ¥1.441 billion, the yield is 5.78%; against revised 2026 net-income guidance of ¥687 million, it is only 2.76%, equivalent to 36 times forecast earnings. The ¥21 dividend yields 5.6%, but equals about 201% of forecast EPS and is partly a distribution of accumulated capital rather than current earning power.

Conditional reverse valuation: supplied NCAV was ¥12.61 billion at December 31, 2025, or 50.58% of market value. By June 30, 2026, current assets of ¥15.26 billion less total liabilities of ¥4.97 billion implied approximately ¥10.29 billion of NCAV, or 41% of market value, after dividends, buybacks and asset transfers. Crediting 85% to 100% of that amount leaves ¥14.6–16.2 billion assigned to the operating business. At a 10% required return and 1% perpetual growth, that operating value requires ¥1.32–1.46 billion of normalized annual distributable cash. That is 91%–101% of 2025 owner earnings and 1.9–2.1 times 2026 forecast net income. The price therefore assumes that most of the earnings interruption is recovered despite management’s structural warning. ([files.microcms-assets.io](https://files.microcms-assets.io/assets/d45caef7ee5f48168c423fe98204dea1/82c643a60c3942379f7a8fbc69d13708/2026%E5%B9%B412%E6%9C%88%E6%9C%9F%E7%AC%AC2%E5%9B%9B%E5%8D%8A%E6%9C%9F%E6%B1%BA%E7%AE%97%E8%AA%AC%E6%98%8E%E8%B3%87%E6%96%99.pdf))

Temporary or Structural?

The damage is predominantly ESSENCE, with a meaningful TIME component. The permanent element is the erosion of search-originated affiliate traffic and gross margin. FANCOMI must replace SEO-dependent publishers with social-media affiliates, LINE channels, influencers and AI-originated referrals. Those channels may preserve the role of performance advertising, but they do not automatically preserve FANCOMI’s former economics or market share.

The TIME component consists of discretionary investment and immature operations. WAND transaction value remains strong, GERA and YOOR recurring revenue grew 30%, and YOOR is profitable. Those are genuine signs of demand. They are outweighed, so far, by a ¥473 million half-year Strategic Business loss, including customer-acquisition spending, weak game-publishing unit economics and N-INE’s business-model redesign. Recovery requires CPA revenue and transaction value to stop declining, active transacting IDs to grow, and Strategic Businesses to approach break-even without cutting the growth that produced their revenue.

The balance sheet can support a multi-year transition: June 2026 cash was ¥12.13 billion and net assets were ¥16.27 billion. Financing survival is not the issue. Existing shareholders can nevertheless suffer if that liquidity funds prolonged losses or low-return acquisitions while the company maintains a dividend above earnings. The strongest contrary evidence is A8.net’s scale, high publisher satisfaction and continued ¥1.61 billion half-year segment profit. August’s near-flat consolidated revenue also shows that newer services can offset some lost CPA sales. It does not yet show that they can replace the lost cash profit. Is the Market Wrong? By How Much?

The supplied 2025 owner-earnings estimate reconciles as follows. The working-capital release is the amount implied by the supplied owner-earnings total. Financial investments are excluded from capital expenditure because they are valued through the separate asset credit.

The scenarios assume approximately ¥150 million of annual maintenance capital expenditure, broadly matching recent depreciation and capex. Strategic-business development spending remains expensed in earnings; no adjustment reverses those losses. Acquisitions are excluded from operating cash flow and instead reduce the percentage of NCAV credited to shareholders. Stock compensation was only ¥3 million in 2025 and is already expensed; a conservative 66.3 million diluted shares is used.

ScenarioNormalized distributable earningsReturn / growthNCAV creditEquity valueValue per shareVs. ¥376

Bull¥1.35bn9% / 2%¥10.3bn¥29.6bn¥446+19%

The bear case keeps earnings near revised 2026 guidance and assumes 40% of June NCAV is consumed or unavailable. The base case assumes CPA stabilizes at a lower level and Strategic Business losses roughly halve, but normalized cash remains 29% below the 2025 benchmark. The bull case requires successful migration to new channels and near break-even Strategic Businesses; even then distributable earnings remain slightly below 2025.

The evidence does not support a material undervaluation at ¥376. The base estimate is about 20% below market, while the bull case offers less than 20% upside. The supplied NCAV covers only half of market capitalization and is not a liquidation floor; net cash and liquidation value remain unavailable because required debt and asset inputs are missing. The assumption most capable of overturning this conclusion is a rapid return to more than ¥1.3 billion of sustainable distributable earnings while management preserves or returns the balance-sheet assets rather than consuming them.
