Company Overview
SEIKAGAKU develops and manufactures glycoscience-based pharmaceuticals, medical devices, and LAL testing reagents. Pharmaceutical products include joint injections and ophthalmic surgery aids sold mainly in Japan, the United States, and China through partners such as Kaken Pharmaceutical and Zimmer Biomet; LAL products are purchased by drug manufacturers and hospitals for quality control and fungal-infection diagnostics. Fiscal 2026 revenue was ¥36.6 billion, split 67% pharmaceuticals and 33% LAL. At ¥623 on September 25, 2026, the investment outcome depends less on reported book value than on whether SI-6603 eventually produces cash and whether management preserves the liquid asset base while the existing operations recover. How the Company Makes Money
SEIKAGAKU does not maintain a large pharmaceutical sales force. It develops and manufactures products, then relies on specialist partners with established physician relationships. Kaken represented 26.3% of fiscal 2026 sales and Zimmer Biomet 14.0%. Domestic ALTZ joint injections hold roughly 80% of their market and OPEGAN ophthalmic products about 50%, supported by regulatory approvals, physician familiarity, manufacturing quality, and partner distribution. These advantages preserve volume, but not necessarily price: government reimbursement reductions, alternative treatments, and centralized Chinese procurement limit the profit retained by the manufacturer. ([seikagaku.co.jp](https://www.seikagaku.co.jp/ja/ir/library/presentation/main/015/teaserItems1/01/linkList/00/link/1Q%20Results%20Presentation.pdf))
Profit currently comes from LAL reagents and irregular licensing milestones rather than the pharmaceutical revenue majority. In fiscal 2026, pharmaceuticals lost ¥1.64 billion on ¥24.49 billion of revenue, while LAL earned ¥0.98 billion on ¥12.15 billion. Royalties collapsed from ¥2.60 billion to virtually zero. LAL has attractive recurring demand because manufacturers repeatedly test production batches and are reluctant to change validated quality-control methods, but its margin fell from 24.9% in fiscal 2022 to 8.0% in fiscal 2026 even as revenue grew 33%. That deterioration suggests higher capacity, product-mix, and operating costs have absorbed the growth.
Research and development remained ¥7.01 billion, or 19.1% of sales excluding royalties. Capital expenditure reached ¥6.19 billion against ¥1.98 billion of depreciation. Combined with receivable and inventory growth, this produced negative ¥1.35 billion operating cash flow and the supplied owner-earnings estimate of negative ¥5.09 billion. Growth has therefore consumed shareholder cash rather than compounded it; the economic return depends on successful launches and improved utilization of the expanded manufacturing base. ([seikagaku.co.jp](https://www.seikagaku.co.jp/ja/ir/library/presentation/main/015/teaserItems1/00/linkList/04/link/20260514_presentation_jp.pdf))
Why the Stock Fell
The immediate damage came from two September disclosures. On September 10, SEIKAGAKU announced a second FDA Complete Response Letter for SI-6603. The FDA found that deficiencies at the active-ingredient facility had not been fully resolved and identified additional cGMP deficiencies at the contract drug-product facility. The FDA raised no efficacy or safety concern and requested no additional clinical trial, but the repeat manufacturing failure invalidated management’s expectation that one year of remediation had solved the problem. The share price fell 7.5% on September 11, from ¥696 to ¥644. ([data.swcms.net](https://data.swcms.net/file/seikagaku_corp/ja/news/auto_20260910534361/pdfFile.pdf))
On September 24, the company cut fiscal 2027 guidance: revenue from ¥41.85 billion to ¥37.10 billion, operating profit from positive ¥2.05 billion to a ¥2.05 billion loss, and net income from positive ¥2.25 billion to a ¥1.80 billion loss. The dividend forecast fell from ¥30 to ¥20. The following day the stock fell another 8.9%, to ¥623. The ¥4.75 billion revenue reduction caused a ¥4.10 billion operating-profit reduction because the missing revenue was largely high-margin approval-linked royalty income. ([data.swcms.net](https://data.swcms.net/file/seikagaku_corp/ja/news/auto_20260924539535/pdfFile.pdf))
The longer decline also reflects structural erosion. Domestic prices continue to fall, the US market is shifting away from five-injection SUPARTZ FX toward fewer injections, Chinese procurement intensifies price competition, and SI-614 was discontinued after failing its primary endpoint. The stock has fallen 14.5% from approximately ¥729 on March 31, 2026, despite the balance sheet remaining superficially strong.
What the Market Is Assuming
Conditional reverse valuation: the supplied ¥34.02 billion market capitalization, less ¥14.65 billion of net cash, assigns ¥19.37 billion to the operating business. At a 10% required return and no growth, that business must sustainably distribute about ¥1.94 billion annually. If depreciation roughly equals maintenance capital expenditure and cash taxes are 30%, this requires approximately ¥2.8 billion of operating profit; allowing ¥0.3 billion of annual incremental reinvestment raises the hurdle to about ¥3.2 billion.
That hurdle is roughly ¥5.0 billion above revised fiscal 2027 guidance. A delayed one-time approval milestone could cover the gap for one year but cannot justify a perpetual value. The alternative interpretation is asset-based: the market price equals 45% of ¥75.30 billion book value and 88% of the supplied ¥38.81 billion liquidation estimate. The price therefore already grants substantial credit to asset preservation or future earnings recovery; it is not trading at a large discount to realizable assets.
Temporary or Structural?
Verdict: mixed, leaning ESSENCE. SI-6603’s immediate setback is predominantly TIME. The clinical evidence was not rejected, no new trial was requested, and the product is already marketed in Japan. Approval remains possible if both manufacturing facilities correct their deficiencies, pass inspection, and support another acceptable application. The second CRL nevertheless reduces the probability-adjusted value: the first remediation was incomplete, a new contractor problem emerged, and no new submission or approval date has been disclosed. ([data.swcms.net](https://data.swcms.net/file/seikagaku_corp/ja/news/auto_20260910534361/pdfFile.pdf))
The existing pharmaceutical economics show more permanent damage. Market-leading domestic products face falling reimbursement prices, SUPARTZ FX faces an unfavorable treatment-mix shift, and fiscal 2027 was expected to lose money without the SI-6603 milestone. LAL provides the strongest contrary evidence: first-quarter sales grew 19.7%, recombinant endotoxin reagents address demand for animal-free testing, and diagnostic products are expanding geographically. Yet company-wide first-quarter operating loss worsened from ¥365 million to ¥943 million because manufacturing costs rose. Revenue growth has not yet restored unit economics. ([seikagaku.co.jp](https://www.seikagaku.co.jp/ja/ir/library/presentation/main/015/teaserItems1/01/linkList/00/link/1Q%20Results%20Presentation.pdf))
The balance sheet can finance a long repair period without refinancing or dilution: fiscal 2026 equity ratio was 87.2% and net cash equaled 43% of market value. It cannot make waiting free. First-quarter net assets declined ¥1.11 billion to ¥74.19 billion, fiscal 2026 owner earnings were negative ¥5.09 billion, and the dividend reduction saves only about ¥0.55 billion annually. Moreover, shareholders identified as holding for management stability and participation control 32.93%, weakening the likelihood that the ¥38.81 billion liquidation value will be promptly returned.
Is the Market Wrong? By How Much?
Valuation uses the ¥623 market price and 54.603 million treasury-excluded shares on September 25, 2026. Asset figures remain the supplied March 31, 2026 snapshot; the September guidance revision contained no updated balance sheet, so net cash and liquidation value are not silently refreshed. Share-based compensation remains within operating costs, and the 0.05% historical share-count change is reflected through the current share count.
| Scenario | Estimated equity value | Value per share | Upside/(downside) |
|---|---|---|---|
| Bear | ¥27 billion | ¥495 | (21%) |
| Base | ¥33 billion | ¥604 | (3%) |
| Bull | ¥47 billion | ¥861 | 38% |
The bear case applies a 30% haircut to the supplied ¥38.81 billion liquidation estimate for continuing losses, taxes, shutdown costs, and the absence of a realization catalyst. The base case values the company at 85% of liquidation value. It assumes LAL margins recover toward the mid-teens and pharmaceuticals approach break-even, but normalized distributable earnings remain negligible after maintenance capital expenditure and working capital. No separate franchise value is added to the same operating assets.
| Going-concern bridge | Base | Bull |
|---|---|---|
| Fiscal 2027 revised operating profit guidance | ¥(2.05)bn | ¥(2.05)bn |
| Margin, volume and recurring-product recovery | +¥2.55bn | +¥6.05bn |
| Normalized operating profit | ¥0.50bn | ¥4.00bn |
| After-tax operating profit, 30% tax | ¥0.35bn | ¥2.80bn |
| Depreciation | +¥2.00bn | +¥2.00bn |
| Maintenance capital expenditure | ¥(2.20)bn | ¥(2.20)bn |
| Normalized working-capital requirement | ¥(0.15)bn | ¥(0.10)bn |
| Normalized distributable earnings | Approximately zero | ¥2.50bn |
The bull case capitalizes ¥2.50 billion at a 10% required return, producing ¥25 billion for the operating franchise. It adds ¥14.65 billion net cash, ¥5.0 billion for 80% of disclosed ¥6.30 billion policy shareholdings, and ¥2.5 billion for the probability-weighted present value of the delayed SI-6603 approval milestone. This assumes the supplied net-cash definition excludes long-term policy holdings. It also requires recurring SI-6603 economics, LAL margin recovery, and lower manufacturing inefficiency; the one-time milestone is not treated as recurring earnings.
The evidence does not establish a large mispricing. Full liquidation value offers only 14% upside before further cash burn and realization friction, while the base estimate is slightly below the market price. The assumption most capable of overturning this judgment is successful SI-6603 remediation followed by meaningful recurring royalties. Without that, the apparently cheap book-value multiple mainly reflects low returns, inaccessible assets, and continuing reinvestment.
